Plan Design
Plan We work with you to understand your Plan objectives and deign the Option structure and suggest relevant features, terms and conditions to suite your requirements. We also draft the necessary legal documentation including resolutions and Scheme document
Employee Communication
Depending on your coverage, we conduct a video session with the Option grantees to explain them the Plan and answer their queries
Plan Management
Our platform, ESOP ezee, has features for rolling our online grants and their acceptance. Each employee gets his/her individual log in to view their Grant documents, option data and Reports. They can also exercise and pay online to get shares from the company. The platform also provides extensive management reporting and analysis for decision making. Employees get email support for their queries.
Cap Table Management
As you prepare to grow and raise a round of equity financing, ESOP ezee enables you to have a firm grasp of your shareholding structure. With the increasing frequency of capital raises, use of different convertible instruments, wide use of ESOPs, maintaining Cap table on a simple excel sheet is no longer an effective solution.
Each investor in a company also has his own version of Cap table and significant productive time is lost in reconciling the multiple versions.

Some companies prefer using the Trust route to administer their Plans. Apart form setting up the Trust, we also act as independent Trustees and manage the day-to day operations and compliances of the Trust
Liquidity Event Management
Several unlisted companies are looking at providing liquidity to the options issued by them, either through a Cash settlement or investors buying our employee shares. Such events need pre planning, close co-ordination with employees, legal compliances and tax obligations. Tax Compliance, Option Valuation and Accounting
Tax regulations keep changing, so do company’s responsibilities. Global Accounting standards are getting implemented in India. Not all companies have the internal expertise to handle these compliances. We help companies and employees in quantifying their tax obligations. We Value Options using globally accepted models and also advise on accounting charge for the companies.
Share Valuation
In order to arrive at the Accounting charge and tax obligations, it is important to know the value of the underlying shares of the company. Regulations require that these valuations should be done by Category 1 Merchant Banker. We handle such engagements through our wholly owned subsidiary, KP Capital Advisors Pvt. Ltd. which is a Category 1 Merchant Banker registered with SEBI.
